Terms of Service

1. Introduction

1.1. These Terms of Service (“Terms”) govern your use of the YallaSail platform (“Platform”), a cloud-based SaaS application for charter boat operators, accessible at yallasail.com.

1.2. By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1.3. The Platform is operated by YallaSail, based in Dubai, United Arab Emirates.

2. Definitions

Platform

The YallaSail web application, including all tools, APIs, widgets, and related services.

Operator

A charter boat company or individual registered on the Platform to manage vessels, bookings, and payments.

Guest

An end customer who books a charter through the Platform.

Subscription

A paid plan (Starter, Growth, or Fleet) that provides access to Platform features.

3. Account Registration

3.1. To use the Platform, you must create an account by providing accurate and complete information, including your name, email address, and phone number.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3. You must be at least 18 years old to create an account.

4. Subscriptions and Payments

4.1. The Platform offers three subscription tiers: Starter ($99/mo), Growth ($149/mo), and Fleet ($249/mo). Prices are in US Dollars.

4.2. In addition to the subscription fee, YallaSail charges a commission (5–10%) on bookings generated through the Platform.

4.3. Payments are processed through Stripe. By subscribing, you agree to Stripe’s terms of service.

4.4. Subscriptions renew automatically. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.

4.5. New accounts receive a 14-day free trial of the Growth plan.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to the Platform or its systems
• Distribute malware or engage in any activity that disrupts the Platform
• Use the Platform to transmit fraudulent, misleading, or harmful content
• Resell or sublicense access to the Platform without written consent

6. Intellectual Property

6.1. All intellectual property rights in the Platform (including software, design, trademarks, and content) belong to YallaSail or its licensors.

6.2. You retain ownership of all data you upload to the Platform. By uploading content, you grant YallaSail a non-exclusive license to use it solely for the purpose of providing the Platform services.

7. Limitation of Liability

7.1. The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied.

7.2. YallaSail shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform.

7.3. YallaSail’s total liability to you shall not exceed the amount paid by you in the 12 months preceding the claim.

8. Termination

8.1. Either party may terminate the agreement at any time. You may cancel your subscription and delete your account through the Platform settings.

8.2. YallaSail reserves the right to suspend or terminate your account if you violate these Terms, with notice where practicable.

8.3. Upon termination, your data will be retained for 30 days, after which it will be permanently deleted unless required by law.

9. Changes to Terms

9.1. YallaSail may update these Terms from time to time. We will notify you of material changes via email or through the Platform at least 7 days before they take effect.

9.2. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

10. Governing Law and Disputes

10.1. These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Dubai.

10.2. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Dubai.
